Agreement Overview
These Terms of Service ("Terms") constitute a legally binding agreement between RITZY Group Ltd. (Hong Kong) and its affiliated manufacturing entities ("Company," "we," "us," or "our") and any individual or entity ("Customer," "Client," "you") accessing our website, submitting orders, or engaging in business transactions with us.
By using our website, submitting inquiries, or placing orders, you acknowledge that you have read, understood, and agree to be bound by these Terms and any supplementary agreements executed between the parties.
01. Scope of Application & Key Definitions
1.1 Scope of Application
These Terms apply to all orders, customization requests, consulting services submitted through our website, and any written supplementary agreements between the Company and Customer. In case of conflict between these Terms and a separate written contract, the written contract shall prevail.
1.2 Key Definitions
"Products"
Finished watches, jewelry, customized components (cases, straps, dials, jewelry pieces) and related technical services.
"Custom Orders"
Watch, jewelry or watch parts orders customized based on design drawings and technical parameters provided by Customer.
"Business Days"
Official working days in the People's Republic of China, excluding weekends and statutory holidays.
"Certifications"
Company's obtained certifications including BSCI, ISO 9001, ISO 14001, and compliance standards such as REACH and CE.
02. Order Confirmation & Delivery Terms
2.1 Order Confirmation Process
- All orders become effective only upon Company's written confirmation (email or official contract)
- Company reserves the right to propose adjustments to technically unfeasible customization requirements
- Quotations are valid for 30 calendar days; expired quotations require re-evaluation
2.2 Custom Order Requirements
For Custom Orders, Customer must first approve pre-production samples in writing before mass production commences. Any modifications after sample confirmation will result in additional material costs and schedule delays borne by Customer.
2.3 Delivery & Logistics

03. Order Cancellation Policy
Free Cancellation
Unconfirmed orders may be canceled free of charge before written order confirmation and production commencement.
Custom Order Cancellation
For Custom Orders where production has already started, the Customer shall bear all incurred material costs and processing fees if they choose to cancel.
04. Delivery Delays & Force Majeure
4.1 Delivery Delay Notification
In the event of anticipated delivery delays, Company will notify Customer in writing within 5 Business Days of discovering the delay, providing:
- Reason for delay and expected impact assessment
- Revised delivery schedule with mitigation measures
- Alternative solutions or partial delivery options
4.2 Force Majeure Exemption
Company shall be exempt from liability for delivery delays caused by Force Majeure events, including but not limited to:
Natural Disasters
- • Earthquakes, floods, typhoons
- • Epidemic/pandemic outbreaks
- • Extreme weather conditions
External Factors
- • Government regulations/lockdowns
- • International trade restrictions
- • Transportation/logistics disruptions
- • Supplier material shortages beyond Company's control
Note: Force Majeure delays will extend delivery schedules by the duration of the Force Majeure event. Company will provide regular updates and resume production immediately upon resolution.
05. Quality Assurance & Compliance
5.1 Quality Standards
All Products comply with ISO 9001 production standards and undergo comprehensive inspections by our in-house testing laboratory, including 100% Incoming Quality Control (IQC), semi-finished product quality control, and Final Quality Control (FQC).
5.2 Acceptance Process
Customer must complete product acceptance within 7 Business Days upon receipt. Quality issues must be reported in writing with supporting inspection reports and photographs. Failure to raise objections within this timeframe constitutes acceptance of Products as qualified.

Secure Payment Processing
All transactions processed through verified international banking systems with full audit trail and regulatory compliance monitoring.
07. Intellectual Property & Confidentiality
Customer IP Rights
Customer retains full ownership of design drawings, brand logos, and proprietary materials. Company uses such materials solely for commissioned orders and maintains strict confidentiality.
Company IP Rights
Company retains exclusive ownership of production technologies, process parameters, and proprietary manufacturing methods. Customer may not use or transfer such IP without written authorization.
Confidentiality & Non-Infringement
Both parties maintain strict confidentiality of trade secrets including quotations, technical drawings, and customer information. Separate Non-Disclosure Agreements (NDA) may be executed upon request.
Company warrants Products do not infringe third-party IP rights. Customer warrants provided designs are free from IP infringement and assumes full liability for any claims arising from infringing designs.
08. Governing Law & Dispute Resolution
Governing Law
These Terms are governed by and construed in accordance with the laws of the People's Republic of China, excluding conflict of laws rules.
Dispute Resolution
Disputes shall first be resolved through good faith negotiation. Unresolved disputes will be submitted to the competent people's court in Company's place of registration.
09. Modifications & General Provisions
Terms Modification
Company reserves the right to revise these Terms in response to legal updates or business adjustments. Revised Terms will be posted on the website homepage. Failure to object within 30 days constitutes acceptance of modified Terms.
Official Notifications
All official notifications will be sent to Customer's registered email address. Customer must ensure contact information provided is accurate and current.
